Exemption. sue and be sued, contract and be contracted with, plead and be impleaded in all courts and places, and in all matters whatsoever, and shall have power to acquire, hold and enjoy real and personal property to an amount not exceeding one hundred thousand dol lars, for religious and educational purposes. SECTION 2. The property, business and temporal affairs of said corporation shall be managed and conducted by a board of six trustees, and the above named corporators shall constitute the first board of trustees of said corporation, and shall continue in office until others shall be chosen as hereinafter provided. SECTION 3. The first election of trustees shall be held on the third Friday in June, 1867, at the place of holding the next yearly meeting, and annually there after at such place as the said yearly meeting may di rect; and said board, when elected as aforesaid, shall be divided by lot into three equal classes, numbered one, two and three; and the seats of the first class shall be vacated at the end of the first year, of the second class at the end of the secon year, and [of] the third class at the end of the third year, to the end that there after, as near as may be, one-third part of the whole number of trustees may be annually chosen for the term of three years. SECTION 4. A majority of the trustees of said corporation when legally convened, shall constitute a quorum for the transaction of business, and shall have power to elect, of their own number, a president, vicepresident, clerk and treasurer, and such other officers as the said yearly meeting may direct, and shall have and exercise all the powers and privileges conferred upon trustees of religious societies by chapter sixty. six of the revised statutes. SECTION 5. The aforesaid yearly meeting shall have power to prescribe the duties of the officers of the aforesaid corporation, and to adopt all rules, regu lations and by-laws which in their opinion may be deemed necessary for the regulation and government of the same, not conflicting with the constitution or laws of the state of Wisconsin. SECTION 6. All lands, tenements and hereditaments, and all property, real, personal or mixed, that have been or may hereafter be lawfully conveyed by demise, gift, grant, purchase or otherwise to the said: Wisconsin yearly meeting of Freewill Baptists, shall descend in perpetual succession to and shall be held by such trustees in trust for said corporation. The annual meetings of the stockholders for the election of directors shall be held at Doty's Island, in this state, unless otherwise established by the board of directors. At all meetings of the stockholders, the votes of stockholders may be cast in person or by proxy duly authorized, and every stockholder shall be entitled to one vote for each and every share of stock held by him; and in all elections for directors, those stockholders, equal to the number of directors to be elected, having the greatest number of votes, shall be deemed and declared duly elected directors. The elections shall be conducted in such manner as shall be prescribed by the by-laws, or by resolution of the company. If for any cause an election of directors shall not be had at the time when by the provisions of " this act it should be had, the same may beld at such other time as shall be fixed by the by-laws of the company, and until such election be had, the directors of the preceding year shall continue to act, and the corporation shall not forfeit or lose any of its privileg es, franchies or immunities by reason of the irregular ity or want of any such election. Section 14 of the said act mentione in the first section of this act is hereby amended, t to per striking out the word "fifteen," wherever it occurs in said section, and inserting in lieu thereof the word "nine," and by striking out the word "five," where-, ever it occurs in said section, and inserting in lieu thereof the word "three," so that it will read so amended as follows: "Section 14. The first board of directors of said company shall consist of the nine sons first named as corporators in the first section of this act. At the first meeting of the board of directors aforesaid, they shall first choose the president of said company, and a secretary, after which they shall ballot for their respective terms of office as directors, as follows: The president shall cause to be prepared nine pieces of paper, of as nearly the same size as may be, upon three of which shall be written 'term of one all year,' and ' three more shall be written term of upon two years,' and upon the remaining three shall be written term of three years. The said pieces of of paper shall be then folded as nearly alike as conveniently can be done, after which the same shall be put into a box and well shaken. Each of the said directors, or in case of the absence of any director, the secretary in his name, shall then draw from the said box one of the said pieces of paper, and the secretary shall make a record of the said drawing, noting the term by each director drawn; and those who shall draw the ballots having thereon the words 'term for one year,' shall hold their offices as directors until the first Wednesday in the month of May, in the year of our Lord 1869, and until their successors are duly elected.
