OFFICIAL CERTIFIED COPY OF UNIVERSAL POWER OF ATTORNEY EXECUTED BY THE COMISION REGULADORA DEL MERCADO DE HENEQUEN IN FAVOR OF MR. VICTOR A. RENDON TO REPRESENT THE SAME IN THE UNITED STATES OF NORTH AMERICA-NO. 48.

In the city of Merida, capital of the State of Yucatan, United States of Mexico, on the twentieth day of the month of August, in the year one thousand nine hundred and fifteen, before me, Licentiate Gonzalo F. Gonzalez, a proprietary notary public of this demarcation of Merida, in the performance of the duties of office and in the presence of the witnesses to this instrument, Ramon Gonzales Gamboa, married, lawyer, forty-seven years of age, domiciled in the house number five hundred, on Ninety-third Street, and Vicente Palmerin, single, merchant, twenty-five years of age, domiciled in the house number five hundred and twenty-three, on Fifty-eighth Street, both inhabitants of this city, and known to me, the notary, and without legal impediments, to whom I certify, there appeared on the one part Mr. Augustin A. Lewels, married, public officer, thirty-eight years of age, domiciled in house number five hundred and three, on Seventy-third Street, and on the other part Mr. Victor A. Rendon, forty-eight years of age, married, doctor of medicine and surgery, domiciled in house number five hundred and thirty-seven, on Sixtieth Street, both of this vicinity, known to me, the notary, to be legally capable of assuming contractual obligations, to which I certify.

Mr. Auguston A. Lewels stated that he appears in the capacity of assistant general manager of the Comision Reguladora del Mercado de Henequen, acting as manager of the institution because of the absence of the general manager, Mr. Juan Zubaran, which position being public and personally known to me, the notary, he does not need to establish by evidence, and in such capacity he declared: That the said institution entitled "Comision Reguladora del Mercado de Henequen" at a meeting held yesterday resolved to give its general power of attorney in favor of Doctor Victor A. Rendon, authorizing the depo

nent to sign, in representation of said commission the respective public document of power of attorney as appears from the original minutes of said meeting, which he presents, entered in the minute book of said institution on pages forty-four front and back and forty-five front, the literal tenor of which I, the notary, copy, as follows:

"Meeting of the nineteenth day of August, nineteen hundred and fifteen. Gen. Salvador Alvarado, governor and military commandant of the State, presiding. In the city of Merida, capital of the State of Yucatan, Mexico, on the nineteenth day of the month of August, nineteen hundred and fifteen, at nine o'clock a. m., Gen. Salvador Alvarado, governor and military commandant of the State presiding, and there being present the directors, Messrs. Licentiate Pedro Solis Camara, Juan de Dios Presuel, Alonso Aznar G. G., and Miguel Camara Chan, Mr. Fernando Rendon Vadillo being absent by permission granted him, and there being present moreover the assistant manager of this Comision Reguladora,' Mr. Augustin A. Lewels, acting as general manager because of the absence of the general manager, Mr. Juan Zubaran, and the undersigned secretary, this present meeting, called by the president, was called to order. On motion of the said president, it being in the interest of the institution and the meeting being duly organized, it was resolved by the unanimous vote of the president and directors present: First, to create a universal attorney in fact and general representative of the Comision Reguladora del Mercado de Henequen in the United States of North America and to appoint Dr. Victor A. Rendon to such position, with the understanding that this power covers acts of possession, administrative acts, and judicial acts, with the following special powers: 1. To abandon any suits or actions; to compromise any claims or actions without any limitations; to agree upon arbiters; to answer and to put questions at hearings; to challenge; to make and to receive payments. 2. To perform all acts which according to the laws of Mexico and the United States of North America require a special power of attorney. 3. To perform all acts of possession and especially to buy, to sell, and to pledge all kinds of merchandise and especially the henequen (sisal hemp) owned by this commission. 4. To purchase and to charter vessels; to warehouse and to store benequen (sisal hemp) in the United States of North America, either paying storage or borrowing money on said henequen, and to borrow money with the guarantees and on the terms which he may consider suitable. 5. To collect from the Chase National Bank the sum of $62,263.38 (sixty-two thousand two hundred and sixty-three dollars and thirty-eight cents) with authority to the attorney, Dr. Victor A. Rendon, to withdraw said funds judicially or extrajudicially. 6. To demand judicially or extrajudicially of Mr. Frank Gaer Maccumber, agent or representative of Lloyds Insurance Co., of London, the balance of the policy against fire issued by said company in favor of this Comision Reguladora on henequen (sisal hemp) stored in the iron warehouse No. 2 of Agencia Comercial of Ferrocarriles Unidos de Yucatan S. A. (United Railroads of Yucatan) of which hemp two thousand three hundred and thirty-three (2,333) bales were burnt on July twenty-seventh, nineteen hundred and thirteen, as per documents delivered to their representative, Mr. J. R. Polak; secondly, to authorize said Dr. Victor A. Rendon as such attorney to open with Messrs. Ladenburg, Thalmann & Co., of New York, or with any other corporation or person in the United States of North America, an account current on such terms as he may consider proper, with power to deposit funds in said account current, to withdraw them, and to dispose of them; thirdly, Mr. Augustin A. Lewels, assistant manager, acting as manager, is authorized to execute said power of attorney in representation of this commission, and the notary licentiate Gonzalo F. Gonzalez was designated to attest the respective public document, the official copy of which shall be properly certified. Wherewith the present meeting adjourned and in testimony these minutes were signed. S. Alvarado, Juan de D. Presuel, Pedro Solis Camara, Miguel Camara Chan, Alonso Aznar G., Emilio Garcia Fajardo (secretary)." Having compared the foregoing transcript with the original minutes referred to, I return the present to the person presenting the same stamped and signed by me, the undersigned notary.

The same deponent, Mr. Augustin A. Lewels, continued to say, that, complying with the instructions contained in the foregoing minutes, he, in the name and in representation of the institution entitled Comision Reguladoro del Mercado de Henequen, appoints Dr. Victor A. Rendon universal attorney in fact and general representative of said Comision Reguladora in the United States of -2

North America for acts of possession for administrative acts and for judicial acts, each and all without any limitation, so that he may negotiate and conclude all operations which, in his judgment, may be in the interest of the said commission, for account and in the name of the same, expressing this fact in each instance for the corresponding legal consequences; conferring upon him expressly the special powers necessary to abandon any suits, claims, actions, and exceptions without any limitation; to submit all transactions to the decision of referees in law and friendly arbitration; to answer and to put questions at hearings; to challenge judges, magistrates, and authorities of all kinds and classes; to make, receive, and demand payments; to bring all manner of suits through all their proceedings, processes, and resorts, including extraordinary cases and injunction suits; to perform all acts which, according to the laws of Mexico and of the United States of North America, require a special power of attorney; in the performance of acts of possession and in the disposal of the property of the Comision Reguladora del Mercado de Henequen to buy, to sell, to encumber, to obligate, and to pledge in any manner all kinds of merchandise, and in particular the henequen (sisal hemp) belonging to said commission, or which it may hereafter require; to buy and to charter vessels and to execute charter parties; to warehouse or store henequen (sisal hemp) in the United States of North America, either paying storage or borrowing money upon said henequen (sisal hemp), or in the name of the Comision Reguladora, with the guarantees and upon the terms, rates of interest, and other conditions which he may consider suitable; to collect, judicially or extrajudicially, from the Chase National Bank the sum of $62,273.38 (sixty-two thousand two hundred and seventy-three dollars and thirty-eight cents) owing to the Comision Reguladora with powers of attorney to receive and withdraw said funds, signing receipts and satisfactions therefor; to demand, judicially or extrajudicially, of Mr. Frank Gaer Maccomber, agent, or representative of Lloyd's Insurance Company of London, or from whomsoever may represent said fire insurance company, the balance of the fire insurance policy issued by the said company in favor of this Comision Reguladora on henequen (sisal hemp) stored in iron warehouse No. 2 of Agencia Comercial of Ferrocarriles Unidos de Yucatan S. A. (United Railroads of Yucatan), of which hemp 2,333 (two thousand three hundred and thirty-three) bales were burnt on July twenty-seventh of one thousand nine hundred and thirteen, as per documents handed to their representative, Mr. J. R. Polak; to open an account current with Messrs. Ladenburg Thalmann Co., of New York, or with any other corporation or person in the United States of North America, at the rates of interest and upon such other condition as he may consider suitable; to deposit, to withdraw, and to dispose of funds in said account current; to draw in favor of and upon the Comision Reguladora; to issue checks, letters of credit, drafts, and other instruments of commerce; to sign all manner of documents and contracts; and in fine to do whatever may be necessary or advantageous to the institution in the United States of America, in the judgment of the attorney, in whom the commission reposes all its confidence and trust, hereby ratifying all acts, contracts, and obligations which he may execute in the exercise of this power of attorney. Mr. Victor Rendon said that he accepts in their entirety the power of attorney and the representation conferred upon him in this document.

I. the notary, certify that I investigated the legal capacity of the contracting parties; that I made sure of the spontaneity of their acts as well as those of the members of the Comision Reguladora del Mercado de Henequen, and that I informed each and every one of them of the scope and the legal effects of the contract contained in this document, which I read to them at the request of deponents, who immediately stated that they understood and were in conformity, in testimony whereof they sign; that I attach on a single sheet stamped and signed by me, the notary, the proper certificate; and that I informed the deponents themselves of the advisability of paying at once the stamp tax and of the risks to which delay exposes them.

This is a true copy of the original instrument and of the original documents which remain, respectively, in the protocol and supplement of the notarial office of this demarcation in my charge. I issue same as the first official copy for the use of Dr. Victor A. Rendon in order to identify him as universal attorney in fact and general representative of Comision Reguladora del Mercado de Henequen in the United States of North America. Done on three folios in Merida the twentieth of August, one thousand nine hundred and fifteen. Between the line "centesimos," which stands. Stricken out "Contimos," not valid. I, Salvador Alvarado, general in chief of the army corps of the southeast, governor and military commandant of the State of Yucatan, certify: That the stamp and signature which cover the foregoing certification are those used on all acts and contracts, in which he intervenes as notary public of this demarcation, by Licentiate Gonzalo F. Young, vice consul of the United States of America at Progreso, Mexico, duly commissioned and qualified, do hereby certify that on this 21st day of August, 1915, before me personally appeared S. Alvarado, to me personally known, and known to me to be the individual described in, whose name is subscribed to, and who executed the foregoing instrument, and, being informed by me of the contents of said instrument, he duly acknowledged to me that he executed the same freely and voluntarily for the uses and purposes therein mentioned. CERTIFIED COPY OF THE MINUTES OF THE MEETING HELD ON THE 19TH OF AUGUST, 1915, BY COMISION REGULADORA DEL MERCADO DE HENEQUEN AND ISSUED IN TESTIMONY OF THE RESOLUTION ADOPTED BY SAID BODY.

I, Licentiate Gonzalo F. Gonzalez, proprietary notary public of the Demarcation of Marida, in the active enjoyment of the powers of my office, certify that Licentiate Emilio Garcia Fajardo, secretary of the Comision Reguladora del Mercado de Henequen, has exhibited to me the original book of the meetings of said Comision Reguladora, and that on folios forty-five, back, and forty-six, front and back, there are minutes and literal tenor of which is as follows:

"Meeting on the nineteenth day of August, one thousand nine hundred and fifteen, Gen. Salvador Alvarado, governor and military commandant of the State, presiding, in the city of Merida, capital of the State of Yucatan, Republic of Mexico, on the nineteenth day of the month of August, one thousand nine hundred and fifteen, at twelve o'clock noon, Gen. Salvador Alvarado, governor and military commandant of the State, presiding, and there being present the directors, Licientiate Pedro Solis Camara, Juan de Dios Presuel, Alonso Aznar G., G. and Miguel Camara Chan, Director Fernando Rendon Vadillo being absent on account of leave granted him, and in the presence also of the assistant manager of the Comision Reguladora del Mercado de Henequén, Mr. Augustin Lewels acting as manager, because of the absence of Mr. Juan Zubaran, the general manager, and the undersigned secretary, the present meeting, called by the president, was called to order.

"Thereupon there was laid before the meeting the letter addressed to the president by Messrs. Ladenburg, Thalmann & Co., of New York, dated the twentyninth day of July, one thousand nine hundred and fifteen, offering to begin business with the Comision Reguladora del Mercado de Henequen and asking that they be sent the particulars and authorizations necessary for that end; that is to say: 1. Copy of the law which created the Comision Reguladora del Mercado de Henequen; 2. A certificate accrediting the present members of the Comision Reguladora and its officers; 3. A certified copy of the resolution of the comision authorizing the opening of an account current with said gentlemen and containing authorization to certain designated persons to deposit funds in this account and to withdraw them; 4. Specimens of the signatures of the persons authorized to deposit and withdraw funds in said account. After considering the matter, the Comision Reguladora del Mercado de Henequen being lawfully represented,
